Zepto Confirms Pre-IPO Private Placement, Reaffirms Listing Within SEBI-Approved Timeline
Quick commerce unicorn Zepto has officially confirmed that it is proceeding with a pre-IPO private placement ahead of its highly anticipated initial public offering (IPO). In an official statement issued by the company, the startup addressed recent market speculation regarding its debut timeline, clarifying that it will maintain a strong focus on core execution while remaining committed to listing within the timeframe permitted under its approved Updated Draft Red Herring Prospectus (UDRHP) with the Securities and Exchange Board of India (SEBI).
The confirmation follows reports suggesting that the company had temporarily paused its public listing plans to complete a private funding round from both existing and new institutional investors.
Capital Injection and Balance Sheet Strength
Zepto revealed that its board and founders have agreed with major shareholders to execute a pre-IPO equity placement. While exact transaction figures were not officially disclosed in the statement, industry reports indicate that the company is raising approximately ₹1,000 crore in this round, with participation expected from existing backers such as Glade Brook Capital, General Catalyst, Goodwater Capital, and Nexus Venture Partners.
The company highlighted that its current balance sheet remains robust, boasting ₹5,681 crore in cash reserves with zero debt as of March 31, 2026.
"As part of the IPO process, the Board and Founders have received terms from public market investors to list the company and are appreciative of the expressed interest. However, at this time, and afforded by the company's strong balance sheet, Zepto will focus on continued execution," the company stated.
Updated DRHP and Listing Roadmap
Addressing concerns surrounding regulatory deadlines, Zepto emphasized that it plans to update its DRHP with its operating financial results in upcoming quarters. Having received SEBI’s formal observation letter in May 2026, the company operates under a SEBI-mandated window—valid for 18 months—to complete its public listing.
