Aurum PropTech to Acquire Housing.com Parent in ₹458 Crore Share-Swap Deal
MUMBAI — In a massive consolidation move reshaping India’s digital real estate sector, listed player Aurum PropTech Limited has approved the acquisition of a 100% stake in Locon Solutions Private Limited, the parent entity of leading property marketplace Housing.com.
The cashless transaction, valued at ₹458.06 crore, will be executed entirely through an all-equity share swap. The deal is expected to close by September 30, 2026, subject to shareholder and regulatory approvals.
Breakdown of the Deal Structure
Under the terms of the binding agreement, Aurum PropTech will acquire 100% of Locon Solutions’ paid-up share capital from Singapore-based REA India Pte Ltd on a fully diluted basis.
The Share-Swap Mechanism: Rather than a cash outlay, Aurum will discharge the ₹458.06 crore purchase consideration by preferentially allotting 1,97,93,309 fully paid-up equity shares (face value of ₹5 each) to REA India.
The Valuation Price: The shares are priced at ₹231.42 per share. These new shares represent approximately 20.5% of Aurum's expanded post-deal share capital.
REA India’s Major Stake Expansion: Following the preferential allotment, REA India’s equity stake in Aurum PropTech will jump from its existing 5.54% to 24.90%, making REA the largest non-promoter strategic shareholder in the company.
Promoter Capital Infusion: Alongside the acquisition, Aurum PropTech’s board approved the issuance of 51 lakh fully convertible warrants to its promoter, Aurum RealEstate Developers, at the same price of ₹231.42 per warrant. This move will inject up to ₹118 crore in cash into the company, bringing the promoter group's fully diluted holding to 41.17%.
