SEBI Clears Decks for ₹30,000 Crore NSE IPO: India’s Largest Exchange Prepares for Public Debut

MUMBAI — In a landmark milestone for Indian financial markets, the Securities and Exchange Board of India (SEBI) has issued its observation letter approving the much-anticipated Initial Public Offering (IPO) of the National Stock Exchange of India (NSE). Estimated at approximately ₹30,000 crore, the public offer sets the stage for one of the largest public issues in the history of Indian capital markets.

Completely an Offer for Sale (OFS)

According to the Draft Red Herring Prospectus (DRHP) filed in June 2026, the issue is structured entirely as an Offer for Sale (OFS) comprising up to 14.89 crore equity shares (face value Re 1 each), representing nearly 6% of the exchange's paid-up equity capital.

Because the issue is 100% OFS, no fresh capital will be raised for the exchange itself; the entirety of the proceeds will accrue directly to selling shareholders. Key institutional shareholders participating in the divestment include state-backed institutions such as State Bank of India (SBI), Bank of Baroda, General Insurance Corporation of India (GIC), and New India Assurance, alongside marquee private and foreign investors like MS Strategic (Mauritius).

At an estimated market valuation hovering near ₹5 lakh crore ($60+ billion), the issue could challenge prior primary market records set by Hyundai Motor India's ₹27,870 crore issue in 2024.

Ending a Decade-Long Regulatory Wait

The clearance brings a major sense of resolution to the exchange, coming nearly a decade after its initial IPO attempt was halted in 2016 due to corporate governance disputes and regulatory probes over its algorithmic co-location facilities.

The regulatory pathway cleared after SEBI granted in-principle approval to a settlement application in the long-standing access matter, followed by the dismissal of residual appeals in the Supreme Court. Having fulfilled SEBI's compliance mandates and securing necessary No-Objection Certificates (NOCs), the exchange's board had unanimously re-approved the listing strategy earlier this year.

Operational Footprint and Market Position

The IPO comes on the back of explosive growth in retail participation across India's financial markets:

  • Investor Base: Unique registered investors on the platform crossed 12.9 crore by March 2026—a steep climb from ~3 crore in 2020.

  • Infrastructure Scale: NSE’s core trading engines process between 12 billion and 14 billion messages daily, holding the global record for the highest derivative trading volumes by contracts traded.

  • Financial Performance: For the June quarter of FY27, the exchange reported a 7% year-on-year rise in net profit to ₹3,120 crore, supported by elevated market volume and stable operating margins.

Timeline and Road Ahead

With SEBI’s formal observation letter in hand, merchant bankers—including a syndicate led by Kotak Mahindra Capital, JM Financial, Morgan Stanley, Citigroup, and Axis Capital—are moving into the final administrative stages.

Market participants expect the company to file its Red Herring Prospectus (RHP) shortly, with the price band likely to be announced mid-September and listing expected on bourses before the end of September 2026.
